Article 1: Agreement to Terms

These Terms and Conditions (“Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you” or “Purchaser”), and Vioravia LLC (“Company,” “we,” “us,” or “our”), concerning your access to and use of the https://vioravia.com website as well as any related services. By accessing the site or purchasing products, you acknowledge that you have read, understood, and agree to be bound by all of these Terms.
Article 2: Website Use and Intellectual Property
2.1 User Accounts: You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer. You agree to accept responsibility for all activities that occur under your account.
2.2 Intellectual Property: All content included on this site, such as text, graphics, logos, and images, is the property of the Company and protected by U.S. and international copyright laws. You may not use any of our intellectual property without our express written consent.
Article 3: Terms of Sale
3.1 Eligibility to Purchase: All equipment (“Equipment”) is intended for use by trained, certified, and/or licensed professionals only. By placing an order, you warrant and represent that you possess the requisite qualifications to purchase and operate the Equipment in your jurisdiction.
3.2 Orders and Payment: All prices are listed in U.S. Dollars. We reserve the right to refuse or cancel any order for any reason. An order confirmation does not signify our acceptance of your order. Payment must be received in full before any order is shipped.
3.3 Shipping: Shipments originate from within the United States. Risk of loss and title for Equipment pass to you upon the carrier’s confirmation of delivery to the address you provided. We are not liable for any loss or theft occurring after confirmed delivery.

5.1 Regulatory Disclaimer: Equipment compliance with CE, FDA, and other regulatory bodies is provided on our Regulatory & Compliance Statement page. It is the Purchaser’s sole responsibility to verify the suitability and legality of using the Equipment in their specific jurisdiction.
5.2 Warranty Disclaimer: EXCEPT FOR ANY EXPRESS LIMITED WARRANTY DETAILED IN OUR LIMITED WARRANTY POLICY, ALL EQUIPMENT AND SERVICES ARE PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS. THE COMPANY EXPRESSLY DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
5.3 Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES WHATSOEVER. THE COMPANY’S TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM THE USE OF, OR INABILITY TO USE, ANY PRODUCT SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THAT PRODUCT.
Article 6: Indemnification
You agree to indemnify, defend, and hold harmless the Company and its affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your purchase, use, or misuse of the Equipment, or your violation of these Terms.
Article 7: Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any legal action or proceeding shall be brought exclusively in the state or federal courts located in Kent County, Delaware, and you consent to the personal jurisdiction of said courts.
Article 8: General Provisions
8.1 Changes to Terms: We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time. All changes will be effective immediately upon posting.
8.2 Entire Agreement: These Terms and any policies or operating rules posted by us on the site constitute the entire agreement and understanding between you and us.
8.3 Severability: If any provision of these Terms is held to be unlawful, void, or unenforceable, then that provision shall be deemed severable and shall not affect the validity and enforceability of any remaining provisions.
